Terms and Conditions of Affiliate Program

                        Subject of Contract

Operator of the Affiliate Program is DrNatura Europe S.R.O. (SK-94501 Komarno Ticha 3., tax number: ), hereinafter referred to as: Operator.

This Contract is made by and between the Operator and the legal or private person joining to the Affiliate program who completes this registration form and sends back with the following terms and conditions (hereinafter referred to as: Affiliate).

Purpose of this Contract is that the Affiliate places the link provided by the Operator on his own functioning website complying with the quality and ethical requirements of the Operator, through which the visitors can access Operator’s website. If the forwarded visitor buys something, Affiliate is entitled to get a commission specified below.

By sending registration data Affiliate accepts the terms and conditions of this Contract complying with the provisions of signing contract between distant Affiliates.

                        Terms and Conditions of Participation

The legal person having online platform (website, blog, etc.) and private persons above 18 years of age may participate in the Affiliate Program.

Websites of any languages, approved by the Operator may participate in the Affiliate Program. After registration of the Affiliate Operator will check the platform of the Affiliate and if based on the market policy of the Operator it is suitable for achieving its goals, it will notify the Affiliate of successful joining to the Affiliate Program.    The Affiliate Program Contract with terms and conditions specified herein will take effect only in this case.

The language of Affiliate’s website containing the link to the Operator’s website should be the same as the language of the Operator’s website connected to that specific link.

Operator will provide the Affiliate with all tools and information that may be required for the successful operation. Pictures and information on the Operator’s website are protected by copyrights and such materials can only be used with prior permission by the Operator.

Operator is entitled to request modification or removal of any links that do not comply with its business interests or are displayed on prohibited sites listed below.

Advertisements can only be those that are found in the Affiliate Software Program by the Affiliate. If the Affiliate wants to use other advertisements, it should be approved by the Operator.

Operator will ensure that Affiliate can check the traffic and statistical data on the administrative site of the Affiliate Program.

                        Conditions of Payment

Operator will pay commission for the purchases through the links, advertisements displayed on Affiliate’s sites.

The rate of commission: 12.5% of the net product value (excluding VAT) of paid orders.

Commission of Affiliate Program is calculated based on the amounts actually paid (received on the bank account of the Operator) and not on the ordered amounts. No commission shall be paid for the amounts paid back according to the money back guarantee. If the Affiliate has already received the commission for a purchase but the customer requested the price of products to be paid back, the amount of paid commission will be debited on the Affiliate’s account and will be deducted from future commissions by the system.

The minimum amount that can be requested is EUR 40 (forty euros); below this limit no payment can be requested.

Commission will be paid monthly. Operator will approve the commissions to be paid for the previous month until the 10th day of the months following the subject month and send the accounting to the Affiliate by e-mail.

Operator will pay the commission to the legal person having EU tax number or a private person capable of issuing invoice and having EU tax number based on the invoice issued by the Affiliate, by bank transfer with a dateline of 8 days. For private persons the Commission will be paid by bank transfer after deductions made in accordance with the applicable laws in the state where the registered office of the Operator is located.

 

                        Term and Termination of Contract

Joining to the Affiliate Program is for free of charge.

The Contract is signed for unlimited period.

Operator is entitled to terminate the Affiliate Program Contract with immediate term if the Affiliate breaches the Terms and Conditions.

Operator is entitled to terminate the Affiliate Program system by which all signed contracts will be terminated.

Operator will notify the Affiliate of the termination of Contract by e-mail.

In case of termination of Contract the final financial settlement shall be made 60 days after the 10th day of the month following the month of termination - because of the 60-day money back guarantee for the distributed products. Final financial settlement will be performed irrespectively of the amount limit.

                        Exclusion Criteria

Affiliate may place the links provided by the Operator on sites of appropriate quality and content.
Affiliate shall notify the Operator of the sites where the link of the program is placed, by e-mail.  Operator is entitled to request additional modification or forbid an advertisement if it does not comply with all requirements. Affiliate will be notified of this by e-mail.  No commission will be paid or can be claimed for traffic or purchases through forbidden sites.

Affiliate may not participate in the Affiliate Program with the following websites:

- website under construction;

- website without useful content;

- low quality website;

- website containing harmful codes (virus, spyware, etc.);

- website containing violence, discrimination, instigation;

- website violating copyrights or having other forbidden content;

- erotic of pornographic websites;

- website violating public taste or good morals or law;

- website with contents against the rights, interests or goodwill of the Operator.

A Affiliate can be excluded from the Program or its participation may be suspended if

- he tries to influence the system operation in any manner;

- he tries to achieve purchase through tie-in sale;

- he uses deceptive methods;

- the Affiliate seriously violates any terms and conditions of this Contract;

- he does any illegal activity in relation to the Affiliate Program.

 

                        Miscellaneous

Operator may change the conditions of the Affiliate Program without notification in advance but shall notify the Affiliate of the fact of such change. Changes shall not apply retrospectively.

Contracting Parties shall keep all data and information they become aware of during their activity confidential and shall not disclose such data and information to third parties in any form. This shall remain in effect even after termination of this Contract.

Contracting Parties will aim to resolve any disputes in an amicable way. If it is non successful, Parties specify the exclusive jurisdiction of the Court at the registered office of the Operator to resolve any legal disputes.
